Dark clause

A clause that gives a tenant the right to stop operating — to go dark — without terminating the lease, often subject to rent abatement or a landlord termination right.

A tenant going dark while continuing to pay rent damages co-tenancy and percentage-rent structures. Landlords resist dark clauses; tenants with strong credit often obtain them. The landlord's counter is a recapture right.
